1. Acceptance of Terms

Semnal LLC ("we," "us," or "our") provides the Versufy website and related services (collectively, the "Service") subject to these Terms of Service ("Terms"). By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference.

IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE THE SERVICE. YOUR USE OF THE SERVICE CONSTITUTES ACCEPTANCE OF THESE TERMS.

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting a notice on the Service or sending you an email. Your continued use of the Service after changes become effective constitutes acceptance of the modified Terms.

2. Eligibility and Age Requirements

You must be at least 13 years old to use the Service. By using the Service, you represent that you meet this age requirement. Users under 18 must have parental or guardian consent to use the Service.

3. Description of Services

Versufy is a decision-making platform that allows users to:

• Create and manage decision frameworks with multiple choices and comparison features
• Share decisions publicly or keep them private
• Fork and customize public decisions and templates
• Track and compare options systematically

You are responsible for providing all equipment necessary to access the Service, including a computer or mobile device and internet connection.

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time without notice. We are not liable to you or any third party for any modification, suspension, or discontinuation of the Service.

4. Account Registration

Certain features require you to create an account. When registering, you agree to:

• Provide accurate, current, and complete information
• Maintain and update your information as needed
• Keep your password confidential and secure
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized account use

You may not transfer or share your account. We may terminate accounts that violate these Terms. Our personnel will never ask for your password.

5. Subscription and Payment

Versufy offers both free and paid subscription tiers. Paid subscriptions are billed in advance on a monthly or annual basis.

5.1 Subscription Terms

• Free tier: Public decisions only, unlimited public sharing
• Paid tier ($9/month or $90/year): Private and unlisted decisions, all features
• Subscriptions auto-renew unless cancelled
• You may cancel your subscription at any time through your account settings

5.2 Payment Processing

Payments are processed by Stripe, a third-party payment processor. By providing payment information, you agree to Stripe's terms of service. We do not store your full payment card details.

5.3 Refund Policy

• Refunds are not provided for partial subscription periods
• Upon cancellation, your subscription remains active until the end of the billing period
• For billing disputes, contact [email protected] within 30 days
• This policy does not affect your statutory rights (particularly for EU consumers)

5.4 Price Changes

We may modify subscription prices with 30 days' notice. Price changes apply to renewals, not current subscription periods. Continuing use after notice constitutes acceptance of new prices.

6. User Content and Conduct

You may submit content to the Service, including decision titles, choices, features, and images ("User Content"). By submitting User Content, you:

• Retain ownership of your User Content
• Grant us a non-exclusive, royalty-free, worldwide license to use, copy, modify, display, and distribute your User Content as part of the Service
• Represent that you own or have rights to the content
• Agree that your User Content will not violate these Terms

You agree not to submit or transmit content that:

• Is unlawful, threatening, abusive, harassing, defamatory, or invasive of privacy
• Discriminates against any individual or group
• Infringes any intellectual property or proprietary rights
• Contains spam, unauthorized advertising, or malicious code
• Impersonates any person or entity
• Is false, misleading, or fraudulent
• Violates any applicable law or regulation

We reserve the right to remove any User Content at our discretion and without notice.

7. Copyright Infringement (DMCA)

We comply with the Digital Millennium Copyright Act. To report copyright infringement, send written notice to [email protected] including:

• Description of the copyrighted work
• Location of the infringing material on the Service
• Statement of good faith belief that use is unauthorized
• Statement of accuracy under penalty of perjury
• Physical or electronic signature

8. Intellectual Property

• Remove any copyright or proprietary notices
• Use the Service content for commercial purposes without a license

9. Third-Party Links and Services

The Service may contain links to third-party websites or integrate with third-party services (Stripe, Google Analytics, Cloudflare). These third parties are not under our control, and we are not responsible for their content, products, or services. Links do not imply endorsement. You access third-party sites at your own risk.

10. Disclaimer of Warranties

THE SERVICE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY.

WE DO NOT WARRANT THAT: (A) THE SERVICE WILL MEET YOUR REQUIREMENTS; (B) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (C) INFORMATION PROVIDED WILL BE ACCURATE OR RELIABLE; OR (D) ANY DEFECTS WILL BE CORRECTED.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SEMNAL LLC AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING FROM: (A) YOUR USE OF OR INABILITY TO USE THE SERVICE; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY; (C) ANY CONTENT OBTAINED FROM THE SERVICE; OR (D) UNAUTHORIZED ACCESS TO YOUR ACCOUNT.

OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US, IF ANY, IN THE PAST TWELVE MONTHS.

Some jurisdictions do not allow certain warranty exclusions or liability limitations. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

12. Indemnification

You agree to indemnify, defend, and hold harmless Semnal LLC and its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorney's fees) arising from:

• Your use of the Service
• Your User Content
• Your violation of these Terms
• Your violation of any rights of another party

13. Dispute Resolution and Governing Law

13.1 Informal Resolution

You agree to first attempt to resolve any dispute informally by contacting us at [email protected]. We will attempt to resolve the dispute within 30 days.

13.2 Governing Law

These Terms are governed by the laws of the State of Georgia, United States, without regard to conflict of law principles.

13.3 Jurisdiction

Any legal action shall be brought exclusively in the state or federal courts located in Cobb County, Georgia. You consent to the jurisdiction of these courts.

13.4 EU Users Exception

EU users retain all mandatory consumer protection rights under EU law and may bring claims in their local courts as provided by EU regulations.

13.5 Limitation Period

Any claim arising from these Terms must be brought within one year after the cause of action arises.

14. Termination

We may terminate or suspend your access to the Service at any time, with or without cause or notice, including for violation of these Terms. You may terminate your account at any time.

Upon termination:

• Your right to use the Service ceases immediately
• We may delete your account and User Content
• Provisions that should survive termination will remain in effect

15. Export Controls

You represent that you are not located in a country subject to U.S. government embargo or designated as a "terrorist supporting" country, and that you are not on any U.S. government prohibited parties list.

16. General Provisions

Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Semnal LLC regarding the Service.

Severability: If any provision is found unenforceable, the remaining provisions will remain in effect, and the unenforceable provision will be modified to reflect our intent as closely as possible.

Waiver: Our failure to enforce any right or provision does not constitute a waiver of that right or provision.

Assignment: You may not assign your rights under these Terms without our consent. We may assign our rights without restriction.
